GENERAL TERMS AND CONDITIONS IN THE CORPORATE FORMATION ENVIRONMENT<\/strong><\/h3>

\u2013 hereinafter referred to as \u201cBrannon Ltd.\u201d<\/strong><\/p>

  1. Conclusion of Contract<\/strong><\/li><\/ol>

    1.1 For contracts concerning company formation with Brannon Ltd., only these terms and condi\u00adtions shall apply. Any deviating provi\u00adsions in the general terms and condi\u00adtions of the customer are expressly contra\u00addicted and not accepted by Brannon Ltd.<\/p>

    1.2 Offers made by Brannon Ltd. in brochures, adver\u00adtise\u00adments, and similar media are \u2013 including prices \u2013 subject to change and non-binding, unless explicitly stated as binding.<\/p>

    1.3 Brannon Ltd. commits consid\u00aderable effort to accurately prepare and price its services. Thus, the customer is bound to their order for 14 days. Should Brannon Ltd. not decline the order within seven days of receipt, accep\u00adtance of the order is presumed.<\/p>

    1.4 Any side agree\u00adments require written form to gain validity. Changes to these terms must also be in writing.<\/p>

    1.5 Compliance with perfor\u00admance deadlines is contingent upon timely and correct provision of all necessary customer infor\u00admation and documents.<\/p>

    1. Scope of Services<\/strong><\/li><\/ol>

      2.1 Brannon Ltd. offers compre\u00adhensive services in the domain of company formation across various juris\u00addic\u00adtions including but not limited to the United Kingdom, Wyoming (USA), and Ireland. Specific services include:<\/p>

      • Name checks and company regis\u00adtration.<\/li>
      • Provision of founda\u00adtional corporate documents such as Memorandum & Articles of Associ\u00adation.<\/li>
      • Regis\u00adtration with relevant author\u00adities, ensuring compliance with local corporate laws.<\/li><\/ul>

        2.2 Services provided are executed according to the speci\u00adfi\u00adca\u00adtions and require\u00adments provided by the customer unless otherwise agreed upon, are limited to the details of the contract.<\/p>

        2.3 Additional services not specified in the contract that Brannon Ltd. may provide gratu\u00aditously can be discon\u00adtinued without notice. Such discon\u00adtin\u00adu\u00adation does not give rise to any claim for compen\u00adsation or price reduction, nor to a right of termi\u00adnation.<\/p>

        2.4 Should there be a signif\u00adicant alter\u00adation in the services agreed neces\u00adsi\u00adtating additional work due to the customer\u2019s change in require\u00adments, Brannon Ltd. may charge for such additional services.<\/p>

        2.5 Brannon Ltd. reserves the right to make partial deliv\u00aderies and services as long as these do not unrea\u00adsonably disad\u00advantage the customer.<\/p>

        2.6 Brannon Ltd. may modify, enhance, or reduce the scope of services, or discon\u00adtinue services, provided such changes do not materially impair the agreed contractual objec\u00adtives.<\/p>

        1. Pricing and Payment<\/strong><\/li><\/ol>

          3.1 The prices quoted at the time of the customer\u2019s order shall apply. All quoted prices include necessary regis\u00adtration fees unless stated otherwise.<\/p>

          3.2 Prices stated are exclusive of VAT and any applicable taxes unless explicitly included.<\/p>

          3.3 Payment terms are net and due upon receipt of invoice unless otherwise agreed. Brannon Ltd. reserves the right to require advance payment or security for the order.<\/p>

          3.4 In the event of late payment, Brannon Ltd. is entitled to charge interest on overdue amounts at the rate of 8% above the Bank of England\u2019s base rate annually.<\/p>

          1. Customer Oblig\u00ada\u00adtions<\/strong><\/li><\/ol>

            4.1 The customer is respon\u00adsible for the accuracy of all infor\u00admation provided to Brannon Ltd. and must ensure that all necessary and correct infor\u00admation is available on time.<\/p>

            4.2 The customer agrees to adhere to all legal oblig\u00ada\u00adtions associated with the operation of a company in the chosen juris\u00addiction, which includes but is not limited to regulatory compliance, financial reporting, and tax oblig\u00ada\u00adtions.<\/p>

            4.3 The customer indem\u00adnifies Brannon Ltd. against any liabil\u00adities, costs, demands, damages, and expenses incurred by Brannon Ltd. as a result of the customer\u2019s failure to comply with these terms or relevant laws.<\/p>

            1. Termi\u00adnation and Cancel\u00adlation<\/strong><\/li><\/ol>

              5.1 Either party may terminate this agreement with immediate effect on giving notice in writing if the other party commits a material breach of any term of this agreement that is irreme\u00addiable or (if such breach is remediable) fails to remedy that breach within a period of 30 days after being notified to do so.<\/p>

              5.2 Brannon Ltd. may terminate the service immedi\u00adately if the customer fails to pay any amount due under the agreement on the due date for payment and remains in default not less than 14 days after being notified to make such payment.<\/p>

              1. Governing Law and Juris\u00addiction<\/strong><\/li><\/ol>

                6.1 This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accor\u00addance with the law of England and Wales.<\/p>

                6.2 Each party irrev\u00ado\u00adcably agrees that the courts of England and Wales shall have exclusive juris\u00addiction to settle any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).<\/p><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<\/div>\n\t\t","protected":false},"excerpt":{"rendered":"
